Board Processes & Tools

  • Identification & selection of board members
  • Board Orientation
  • Various Committees of the board:
    ​- Executive Committee
    ​- Finance Committee
    ​- Audit Committee
  • Risk Management in NPOs


Session III (7 x 6 Min = 42 Min.)
Meeting, Records, Board Reports & Other Issues

  • Overview of general & board meetings
  • Notice, agenda for convening general meetings & board meeting
  • Roles & Responsibilities of Office bearers
  • How to write- minutes, records, motions & resolutions of the meetings
  • Meeting through video conferencing
  • Conflict of interest policy
  • Recommended practices on boards report

 

Course objectives

The programme would aim to provide an understanding in the following areas:

  • Fundamental concepts & Principles of good governance
  • Board structure & Processes
  • Requirement of an effective governance system
  • Governance controls and fulfillment of compliances as a part of good governance system

     
Programme Design

Duration of the modules:
There are 3 seminar sessions in this elective which will be covered in 6 weeks, including online assessment of one week. Therefore, each session will be covered in 2 weeks wherein there will be 12 days of inputs on the subject and 2 days of short online assessment.

Online video sessions:
Under each session there will be lecture videos uploaded for each subject. Therefore for example in Session 1, there will be 6 lecture videos on each of the 6 subjects. Each video will be for a duration of 5-6 minutes and will capture the key essence of the topic.

Study Materials:
For each session there will be extensive reading material provided to each student online. The reading material of 50-60 pages for each session will be provided to students.

Webinar:
For each session, there will be one webinar at a mutually convenient time for 45 minutes to one hour. The format of the webinar would be an initial presentation of half an hour by the faculty, along with a PowerPoint (if required) followed by question and answer session with the students for 15-30 minutes.

Discussion Forum:
Each week, one topic will be uploaded on a discussion platform for the students to participate. The faculty will moderate the postings.

Online Test:
At the end of each session, there will be a short online test to determine the level of learning of students and to provide the students with up-to-date feedback. The test will be of the following type:
o Case Study
o Multiple Choice Questions
o Objective type Questions

Technical Framework Requirements:
As all the sessions will be made online, the students should have a Laptop/Computer with high speed internet connectivity, headset and cameras. The students will be given access to online course through Adobe Connect.
